Overview
This Affiliate Program Agreement ("Agreement") is entered into between JEMAUA HOLDINGS LTD, operating under the name PROJECT1PURPOSE ("PROJECT1PURPOSE", "we", "us", or "our"), and the individual or entity participating in the Affiliate Program ("Affiliate", "you", or "your"). By accessing, browsing, using a Referral Link, or otherwise participating in the Affiliate Program, you acknowledge and agree that: • you have read, understood, and agreed to be bound by this Agreement; • you are legally capable of entering into a binding agreement under applicable law; • you will comply with all applicable laws, regulations, and platform policies. If you do not agree to these terms, you may not participate in the Affiliate Program. The Effective Date of this Agreement is the date on which you register for or participate in the Affiliate Program.
Purpose
Subject to the terms of this Agreement, PROJECT1PURPOSE grants Affiliates a limited, non-exclusive, non-transferable, revocable right to promote eligible PROJECT1PURPOSE products and services using approved Referral Links.
Program structure
PROJECT1PURPOSE may offer subscription-based memberships, digital services, physical products, and related platform features ("Services"). Certain subscriptions may provide users with access to selected content, product releases, updates, community features, and other platform benefits made available by PROJECT1PURPOSE from time to time. Participation in the Affiliate Program is optional and separate from any subscription purchase. Users who create an account on PROJECT1PURPOSE may automatically receive access to the Affiliate Program and a unique Referral Link. Affiliate commissions are earned solely from qualifying sales generated through approved Referral Links. No commissions are earned solely through participation in the Affiliate Program without qualifying sales. PROJECT1PURPOSE reserves the right to modify pricing, subscription plans, products, services, or commission structures at any time in accordance with applicable law.
Qualified referrals
A "Qualified Referral" means a referral that: • is submitted through an approved Referral Link; • complies with this Agreement and applicable laws; • results in a verified and completed purchase during the applicable conversion period. PROJECT1PURPOSE reserves the right to review referrals for fraud prevention, abuse prevention, compliance verification, or policy enforcement purposes. Referrals generated through misleading, unlawful, fraudulent, abusive, or unauthorized methods may be rejected.
Ineligible referrals
The following referrals are not eligible for commissions: • self-referrals; • duplicate accounts; • purchases made in violation of platform policies; • fraudulent or manipulated transactions; • referrals generated through spam, misleading advertising, or unlawful marketing practices; • existing customers where no genuine referral activity occurred.
Commissions
Affiliate commissions are based solely on verified qualifying sales generated through approved Referral Links. Commissions are not based on recruitment activity, account creation, or the introduction of other affiliates into the program. The commission is bound by the commission rules presented on the website. Commission structures, eligibility requirements, payout thresholds, and payment methods may be updated from time to time and will be communicated through the platform or website. PROJECT1PURPOSE reserves the right to withhold, reverse, or cancel commissions where fraud, abuse, payment reversals, policy violations, or legal compliance concerns are identified.
Payments
Approved commissions will be paid using the payment methods made available by PROJECT1PURPOSE. Payment processing times may vary depending on payment providers, verification procedures, and compliance reviews. Affiliates are solely responsible for any taxes, reporting obligations, or legal obligations arising from commissions received.
Affiliate responsibilities
Affiliates agree that they shall not: • engage in spam, unsolicited communications, or deceptive marketing; • misrepresent PROJECT1PURPOSE or its products/services; • create multiple accounts for abusive purposes; • manipulate referral tracking systems; • use unlawful, hateful, abusive, or misleading promotional content; • bid on branded keywords or impersonate PROJECT1PURPOSE without authorization; • make guarantees regarding earnings, profits, or financial returns. Affiliates participate in the Affiliate Program as independent promoters and are not employees, agents, representatives, partners, or legal representatives of PROJECT1PURPOSE. Affiliates may not negotiate or enter into agreements on behalf of PROJECT1PURPOSE.
Marketing
Affiliates may use marketing materials, branding assets, and promotional content provided or approved by PROJECT1PURPOSE solely for participation in the Affiliate Program. Affiliates must not materially modify, misrepresent, or misuse any marketing materials, products, services, branding, or promotional content provided by PROJECT1PURPOSE. Affiliates may not make false, misleading, or unauthorized claims regarding PROJECT1PURPOSE or its products and services. All trademarks, branding, content, and intellectual property rights relating to PROJECT1PURPOSE remain the exclusive property of JEMAUA HOLDINGS LTD. Participation in the Affiliate Program does not grant Affiliates any ownership rights or intellectual property rights in PROJECT1PURPOSE materials, branding, or services.
Advertising and disclosures
Affiliates must comply with all applicable advertising, marketing, consumer protection, and disclosure laws. Affiliates must clearly disclose their commercial relationship with PROJECT1PURPOSE where required by applicable law or advertising standards.
Intellectual property
All intellectual property rights relating to PROJECT1PURPOSE, including trademarks, branding, content, and platform materials, remain the exclusive property of JEMAUA HOLDINGS LTD or its licensors. Affiliates are granted a limited, revocable license to use approved marketing materials solely for participation in the Affiliate Program.
Suspension and termination
PROJECT1PURPOSE may suspend, restrict, or terminate participation in the Affiliate Program where: • this Agreement is breached; • fraudulent, misleading, abusive, or unlawful conduct is identified; • required by law or regulatory obligations; • necessary to protect the platform, users, or business operations. PROJECT1PURPOSE may investigate suspected violations and take proportionate enforcement measures where reasonably necessary.
Disclaimer on earnings
PROJECT1PURPOSE does not guarantee any income, profit, financial return, or business success through participation in the Affiliate Program. Earnings depend on individual promotional efforts, qualifying sales, market conditions, and other factors beyond the control of PROJECT1PURPOSE.
Limitation of liability
To the maximum extent permitted by applicable law, PROJECT1PURPOSE shall not be liable for indirect, incidental, special, consequential, or business losses arising from participation in the Affiliate Program. Nothing in this Agreement excludes liability that cannot legally be excluded under applicable law.
Governing law
This Agreement shall be governed by the laws of Cyprus. EU consumers and participants retain any mandatory rights granted under applicable consumer protection laws within their country of residence.
